The BUYER acknowledges that this transaction exclusively concerns the sale of the business and its assets, including but not limited to: goodwill, trade name (if applicable), equipment, furniture, inventory, operating rights, transferable contracts, and any other tangible or intangible component of the business.

The BUYER expressly acknowledges that the corporate entity currently operating the business (e.g., XYZ Inc.), including its shares, obligations, debts, liabilities, contractual commitments, fiscal or legal responsibilities, is not included in this sale.

The transaction does not constitute a sale of shares, but rather a sale of assets. any other equipment, installation, or accessory used for the operation of the sugarbush, whether fixed or mobile. The BUYER acknowledges having had the opportunity to examine all the included assets and declares purchasing the buildings and all the above equipment "without statutory warranty of quality, at the buyer's own risk." The BUYER acknowledges that the SELLER and the BROKER provide no warranty regarding the condition, capacity, compliance, performance, durability, or functionality of the equipment, buildings, or machinery included in the sale. The BUYER declares relying on their own verifications, inspections, and technical assessments. The BUYER waives any recourse against the SELLER and the BROKER regarding any apparent or hidden defects affecting the equipment, buildings, or installations included in the sale.
